The terms “we”, “us”, “our”, “Website”, “company”, and Grays” refers to Grays, Inc., a Florida corporation, and its subsidiaries, corporate affiliates, including DBAs Grays and Fly Snooze Cruise (collectively, the Grays Companies”). The term “you” refers to the customer for whom the package and service is being purchased for their use. Whether the customer is visiting the Website and/or booking a reservation through us on this Website, through a third-party representative(such as a travel agent) or through our company customer care representatives, all terms and conditions in this Agreement apply to the customer.

This Website is offered to you conditioned upon your acceptance without modification of any of the terms, conditions, and notices set forth below (collectively, the “Terms and Conditions” or “Agreement”). Please read these Terms and Conditions carefully, as they contain important information about limitations of liability and other information you need to know. You should also read our Privacy Policy, which also governs your use of the Website. By accessing or using this Website, booking any reservations for travel products or services on this Website, or contacting our customer care representatives, you agree that the Terms and Conditions then in force shall apply. If you do not agree to the Terms and Conditions, please do not use or book any reservations through this Website, through a third party, or through our customer care representatives.

 

WEBSITE USE

As a condition of your use of this Website, you must be a natural person, 18 years or older and possess the legal authority to create a binding legal obligation. You will use this Website in accordance with these Terms and Conditions; You will only use this Website to make legitimate reservations for you or for another person for whom you are legally authorized to act; You will inform such other persons about the Terms and Conditions that apply to the reservations you have made on their behalf, including all rules and restrictions applicable thereto; You will provide only true, accurate, current, and complete information on this Website; you will safeguard your account information and will supervise and be completely responsible for any use of your account by you and anyone other than you.

We retain the right at our sole discretion to deny access to anyone to this Website and the services we offer, at any time and for any reason, including, but not limited to, for violation of these Terms and Conditions.

By signing up to book reservations, or create an account, you agree to receive email communications that are travel-related. You can opt-out of receiving promotional emails by following the unsubscribe link on any of the emails you receive. If you booked travel services, you may not opt-out of communications which are related to your booking and travel coordination.

 

PROHIBITED ACTIVITIES

The content and information on this Website (including, but not limited to, price and availability of travel services) as well as the infrastructure used to provide such content and information, is proprietary to us. Except for making copies of your itinerary and related documents, you agree not to in anyway reproduce, modify, publicly sell, or otherwise use any information or service provided by this Website. Additionally, you agree not to use this Website or its contents for any commercial purpose; make any speculative, false, or fraudulent reservation; copy, monitor, or access any information on this Website, by any automated means or by manual process for any purpose, or link to any portion of this Website without our written permission.

If your booking or account shows signs of abuse, fraud, or suspicious activity, we may cancel any travel or service reservations associated with your name, email address or account, and close any associated Grays accounts. If you have conducted any fraudulent activity, we reserve the right to take any necessary legal action and you may be liable for monetary losses to us, including litigation costs and damages. To contest the cancellation of a booking or freezing or closure of an account, please contact Grays Customer Care Services.

 

SUPPLIER TERMS AND CONDITIONS

This Website facilitates your booking of, including by not limited to, ground transportation services, luggage transportation services and cruise parking facilities. Grays is not involved in providing these services. As a result, we have no control over the quality, safety, or legality of the products and services, the truth or accuracy of the listings, or the ability of the vendors to offer services. Should you have a dispute with one or more vendors, you release Grays and its officers, directors, agents, subsidiaries, joint ventures, and employees from any claims, demands and damages of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such disputes.

Additional terms and conditions will apply to your reservation and purchase of travel related goods and services from each of the suppliers involved in your travel. Please read the terms and conditions issued by all suppliers (which can be found on each of the supplier’s websites.) You agree to abide by their terms and conditions, including but not limited to, compliance with their rules, restrictions, and services.

You further acknowledge that your travel suppliers may require you to sign their liability waiver before participating in the service they offer. You understand that any violation of any such supplier’s rules and restrictions may result in cancellation of your reservation(s), in you being denied access to the applicable travel product or services, in you forfeiting any monies paid for such reservation(s), and/or in our debiting your account for any costs we incur as a result of such violation(s).

 

PREPAID TRANSPORTATION SERVICES

You acknowledge that Grays pre-negotiates each of the components with all the participating suppliers, including but not limited to, transportation providers, baggage handlers and parking providers, to facilitate you in the booking of these services.

The amount you pay is the total of the amounts charged to us by each of the suppliers included in the facilitation of the transportation services and the facilitation fee retained by Grays for our services in booking the complete reservation.

Your credit card will be charged by Grays Line , a DBA of Grays, in which you authorize us to facilitate your reservations on your behalf including making payment arrangements with the suppliers. The taxes and fees represents a tax recovery charge, and is a recovery of the estimated taxes that we pay to each of the suppliers included in your reservation as well as a recovery charge of the estimated fees that we pay to the credit card processors. You acknowledge that Grays does not collect taxes for remittance to the applicable taxing authorities. Each supplier in the service charges us for their respective applicable taxes and the supplier remits these taxes due directly to the taxing authorities.

Grays does not act as a co-vendor with any of the suppliers with whom we reserve our customer’s travel arrangements. Taxability and the appropriate tax rate vary greatly by location. The actual tax amounts paid by Grays to each of the package suppliers may vary, depending upon the rates, taxability, etc. applicable at the time of the actual use of the product and/or service by our customers. We retain any remaining package proceeds as the facilitation fee in servicing your travel reservation.

 

SHUTTLE TICKET

Customers who place an online order will receive a shuttle ticket via email immediately after placing the order. This package will include the detailed travel itinerary. Should the package include transportation, the name and phone number of the transportation provider, along with the pick-up time(s) and procedures will be included in the email itinerary. For assistance while traveling, contact our offices from 7:00 AM – 1:00 PM ET at (800) 482-5660. Outside of these hours, contact the transportation provider directly.

 

TRANSPORTATION

Transportation is provided by a “Shared Shuttle” system which may involve multiple stops and pick-up times that are approximate.  We always aim for timely pick-ups and departures, circumstances out of our control do occasionally happen.  We ask that vacationers be at their pickup no less than 30 minutes before planned departure.  Heavy traffic, major accidents or severe weather may delay your transportation provider. Refunds will not be issued due to such circumstances. In the event of an incident, we ask that you allow up to a 1-hour grace period for your driver to arrive. Customers are also required to provide us with a valid cell phone number and be available to take a call while traveling in case our drivers need to reach you.

Grays will not refund for subsequent missed travel because of delays outside of our control. Such delays include, but are not limited to, delayed flights, delayed ship returns, or traffic delays.

Airport Pick-Ups: Should an incoming flight be delayed, resulting in a needed airport pick-up outside of our Shared Shuttle time window included in the purchased shuttle ticket, it will be up to the client to make arrangements for their own transportation, at their own cost. No refund will be provided by Grays. We suggest Customers seek their refund options from the airline that caused the delay.

Port Pick-Ups: Once debarkation has begun from a cruise ship, Customers should allow up to two (2) hours from the time they board a Shared Shuttle, until the time they arrive at the airport, under normal traffic patterns. Should a cruise ship be delayed in returning to Port, resulting in a missed flight or other travel plan, Grays is not responsible to provide a refund for the missed flight or any other type of missed travel. We suggest Customers seek their refund options from the cruise line that caused the delay.

Guests of Size: Guests of size who do not comfortably fit in one seat at 16″ width are required to purchase a ticket for an additional adjacent seat when making the initial reservation.  Two seats will be pre-assigned (at no additional charge) in order to ensure the passenger of size has two seats side-by-side.

 

BANK AND CREDIT CARD FEES

Some banks and credit card companies impose fees for international transactions. If you are making a booking from outside of the United States on a US credit card, your bank may convert the payment amount to your local currency and charge you a conversion fee. This means the amount listed on your credit or bank card statement may be in your local currency and therefore a different figure than the figure shown on the billing summary page for a reservation booked on the Website. In addition, a foreign transaction fee may be assessed if the bank that issued your credit card is located outside of the United States. If you have any questions about these fees or the exchange rate applied to your booking, please contact your bank.

 

PRIVACY POLICY

Grays Line LLC values your privacy and only uses your information as described in the Privacy Policy.

 

CONTENT SUBMISSIONS

Any review, photo, comment, phone number or other content you submit to this Website is granting us non-exclusive, royalty-free, perpetual, transferable, irrevocable and fully sub-licensable right to use, copy, modify, translate, publish, and distribute this content using the name you submit with the submission. You further grant us the right to share this information with the supplier(s) involved in this content.  By providing your phone number, you have opted in to receiving text messages from us regarding your trip, ETAs, information regarding your purchase, as well as correspondence between our agents and yourself if you need more information.  You also acknowledge and agree that any and all submissions are non-confidential and non-proprietary. Any material or content that infringes, misappropriates or violates any copyright, trademark, patent right or other proprietary right of any third party, will be solely your responsibility. Moreover, you shall be solely liable for any and all damages that may result from your posting of content to this Website.

 

LIABILITY DISCLAIMER

The Information and Services published on this Website may include inaccuracies or errors, including but not limited to, errors in pricing and errors in cancellation options. Grays does not guarantee the accuracy of and disclaims all liability for any errors or other inaccuracies relating to the information and description of the package suppliers, including but not limited to hotels, transportation providers, parking providers, and other travel products and services displayed on this Website. This also includes, with no limitation, the pricing, the cancellation options, photographs, list of supplier amenities, general product descriptions, etc. Additionally, Grays expressly reserves the right to correct any pricing errors or cancellation option errors on the Website, including any or all reservations made under an incorrect price, and cancellation requests submitted with incorrect refund and/or credit percentages applicable to the package. If such an event occurs for a package purchased, if available, you will be offered the opportunity to have your package adjusted to the correct price or to cancel the reservation without penalty. If such an event occurs for a cancellation request, before the request is processed, you will be offered/notified of the correct cancellation option(s).

This Website does not constitute any endorsement or recommendation of suppliers, products, or services. All such information and services are provided “as is” without warranty of any kind. Grays disclaims all warranties and conditions that this Website, its servers or any email sent from Grays, are free of viruses or other harmful components. Grays hereby disclaims all warranties and conditions with regard to this information, products, and services, including all implied warranties and conditions of merchantability, fitness for a particular response, title and non-infringement.

The transportation providers, parking providers, and other suppliers providing travel or other services on this Website are Independent Contractors and not agents or employees of Grays. Grays is not liable for the acts, errors, omissions, representations, warranties, breaches, or negligence of any such suppliers or for any personal injuries, death, property damage, property loss, or other damages or expenses resulting there from. Grays has no liability and will make no refund in the event of any delay, cancellation, overbooking, strike, force majeure or other causes beyond their direct control, and has no responsibility for any additional expenses, omissions, delays, re-routing or acts of any government or authority.

Customers are responsible for their own luggage and personal property placed either by themselves or Grays representatives and partners in vehicles. We do not assume liability in the event of damage, loss, or theft and are not responsible for losses incurred.

In no event shall Grays be liable for any direct, indirect, punitive, incidental, special or consequential damages arising out of, or in any way connected with, your access to, display of or use of this Website or with the delay or inability to access, display, or use this Website (including, but not limited to, your reliance upon opinions appearing on this Website; any computer viruses, information, software, linked sites, products and services obtaining through this Website; or otherwise arising out of the access to, display of or use of this Website) whether based on a theory of negligence, contract, tort, strict liability, consumer protection statutes, or otherwise, and even if Grays has been advised of the possibility of such damages.

In the event that you decide to participate in transportation, parking and/or hotel accommodations through Grays, which includes transportation vehicles equipped with automated lifts. FOR AND IN CONSIDERATION of the services provided to me by Grays and related activities, to the fullest extent permitted by applicable laws, I DO HEREBY agree as follows:

  • I ACKNOWLEDGE THAT THERE MAY BE A RISK OF SERIOUS INJURY (KNOWN OR UNKNOWN), WHICH MAY INCLUDE PERMANENT DISABILITY OR PARALYSIS, OR DEATH WHEN PARTICIPATING IN TRANSPORTATION, LOADING/AND OR OFFLOADING OF THE VEHICLE..
  • I assume the risks of that participation.
  • I acknowledge that there are risks of injury or death from car or vehicle accidents and additionally risks from falling, impact damages or suffering other injuries when: walking, sitting or standing; entering, exiting or using a lift for vehicles; entering, exiting or riding in a vehicle; or transferring to or from seats, wheelchairs, scooters or other mobility assistance devices. PEOPLE CAN BE INJURED WHEN BOARDING, EXITING OR RIDING IN A VEHICLE.
  • I acknowledge that there are risks of injury when staying at hotels including: slip and falls; criminal activities; bed bugs (or other insect or animal infestation) and other activities. Additionally, there are risks of permanent disability, death or paralysis with pools, bathtubs, hot tubs or other activities involving water.
  • I acknowledge that there are risks of damages when a car is in a parking lot, including but not limited to damage from hail, wind, flooding, fire or other weather events; criminal activities (including but not limited to theft or vandalism); and damage from impacts with other vehicles, objects or people.
  • I RELEASE, COVENANT NOT TO SUE AND AGREE TO INDEMNIFY AND HOLD HARMLESS Grays, its parent, related, affiliated or subsidiary companies, and their respective officers, directors, employees or agents of and from any and all claims, causes of action, damages, liabilities or expenses (collectively “Claims”), known or unknown, existing now or in the future, that I may now or hereafter have against Grays, arising in any way out of my participation and/or Grays own negligence, except for Claims arising from the gross negligence or intentional acts of Grays.
  • I ASSUME FULL RESPONSIBILITY FOR, AND ALL RISK OF, any bodily injury, death or property damage suffered by myself for any reason due to my participation and/or Grays’ own negligence, except if from the gross negligence or intentional acts of Grays.
  • I have carefully read these terms and conditions, and I know and understand what it means. I UNDERSTAND THAT I HAVE GIVEN UP SUBSTANTIAL RIGHTS BY AGREEING TO IT.
  • If, despite the limitation above, Grays is found liable for any loss or damage which arises out of or in any way connected with any of the occurrences described above, then the liability of Grays will in no event exceed, in the aggregate, the greater of (a) the service fees you paid to Grays in connection with such transaction(s) on this Website, or (b) One Hundred Dollars (US$100.00) or the equivalent in local currency. The limitation of liability reflects the allocation of risk between the parties. The limitations specified in this section will survive and apply even if any limited remedy specified in these Terms and Conditions is found to have failed of its essential purpose. The limitations of liability provided in these Terms and Conditions inure to the benefit of Grays and/or their respective suppliers.

 

INDEMNIFICATION

  • You agree to defend and indemnify Grays and any of their officers, directors, employees and agents from and against any claims, causes of action, demands, recoveries, losses, damages, fines, penalties or other costs or expenses of any kind or nature including but not limited to reasonable legal and accounting fees, brought by third parties as a result of:
    • Your breach of these Terms and Conditions
    • Your breach of any of the suppliers’ Terms and Conditions
    • Your violation of any law or the rights of a third party
    • Your use of this Website.
